What a German legal warning actually is
A warning letter signals that someone — usually a competitor or rights holder — claims you have violated German law: through the use of trademarks, designs, patents, copyrighted content, or through impermissible advertising. However sharply it is worded, it is in essence an offer to settle out of court. Handled correctly, it can be resolved without litigation. Handled incorrectly, it can cost you thousands in penalties and bind your business for decades.
Warning letters are also regularly overreaching: excessive fee demands, declarations far broader than the law requires, or claims that do not hold up at all. That is leverage — if it is identified before you sign anything.
The three most important rules after receiving a warning
Stay calm — do not be intimidated
Most warning letters are designed to create pressure and often include a pre-drafted cease-and-desist declaration, hoping you will sign it without thinking. Once signed, it is binding and can trigger high contractual penalties for even minor violations.
Never sign without legal review
The enclosed documents may contain excessive or unlawful demands — unfair jurisdiction clauses, inflated fees, or commitments that go far beyond what the law requires. Signing them unmodified can seriously hurt your business.
Do not let the deadline expire silently
Ignoring the letter invites a preliminary injunction. The right move is a controlled reaction within the deadline. Where appropriate, we request an extension of the deadline. Until the extension is confirmed, the original deadline must still be observed.
How we work: three clear stages
Free initial case review
You send us the warning letter. Generally within 24 hours, and for running deadlines generally on the same business day, you receive a reply: what is being claimed, whether the claim looks justified, and what your deadline situation is. Free and non-binding.
Assessment & strategy at a fixed fee
If you instruct us, we agree a fixed fee before any work starts. We analyse the claim in detail, explain your options and risks, and recommend a strategy. No work beyond the agreed scope without your prior approval — the only exception: steps immediately necessary to protect you against the deadline.
Full defense — only on your instruction
Where needed: a modified cease-and-desist declaration limited to what the law actually requires, negotiation with the opposing side, defense against unjustified claims — and where appropriate, a counter-warning and recovery of your costs.

Frequently asked questions
Usually only a few days — the exact deadline is stated in the letter. If the deadline is too tight, we can request an extension from the opposing side. The important thing is not to let it expire unanswered.
No — and you often should not. Pre-drafted declarations are frequently broader than the law requires and bind you for decades. Whether you should give a cease-and-desist undertaking, and how it should be worded, depends on whether the claim is justified and on the consequences for your business. Options include a reasoned rejection of the claim, a tailored undertaking, negotiations or a determination by the court.
The opposing side can apply for a preliminary injunction or file a lawsuit, usually within days after the deadline expires. Ignoring the letter is the most expensive option — a legal review is always better.
The initial case review is free and non-binding. Before providing further services, we agree the scope of work and our fees and explain foreseeable additional cost risks. Unforeseen developments may affect the work required; we will discuss this with you. Where a warning is unjustified, your legal costs may be recoverable from the other party. Invoices to business clients outside Germany are generally issued without German VAT (19 %). EU businesses account for VAT under the reverse-charge mechanism in their own country; for businesses outside the EU, the rules of their home country apply. We clarify the applicable treatment before invoicing.
